Palawi Bunnag is a partner at ILCT who has solid experience working as a professional lawyer for over 19 years.
Palawi has handled all kinds of commercial law contracts and corporate laws by giving legal advice and assistance in the joint venture, M&A, takeover and amalgamation transactions. She has advised and assisted private equity funds, property funds, foreign investors, government entities, listed companies, well-known property developers, and world recognised global companies in many high-profile and cross-border deals. She has led many successful high-net-worth M&A project deals both on the seller and buyer sides and occasionally acted for both at the same time (with a waiver of conflict of interests from both sides), as well as joint venture projects. Thus she has ample experience in structuring the deals, taking into consideration any tax implication and tax planning, as well as negotiating and executing M&A and joint venture agreements. Her advice is not just limited to legal advice but also business advice since she has come across many business deals for the past years of her work.
Other than that, Palawi participated in the very first conversion of the property fund to REIT in Thailand. She has also done a few conversions from limited companies to public limited companies and assisted in listing their ordinary shares on the Stock Exchange of Thailand or the Market for Alternative Investment.
Currently, Palawi is working on a few fintech projects, one of which is the initial coin offering (ICO) portal, especially for real estate-backed ICO that has already been approved by the Securities and Exchange Commission, Thailand (SEC) and other digital asset businesses. She has been working closely with the SEC in designing the ecosystem of real estate-backed ICO laws, which have recently been enacted into laws. She recently wrote a few articles for Asia Business Law Journal on the digital asset business laws in Thailand.
Palawi sits on the board of a Thai public-listed company as an independent director. Palawi is also a guest lecturer at the law faculty of Thammasart University (International Programme).
